Terms and Conditions of Sale and Installation

1. Payment Terms

Supply Only Contracts

Unless otherwise agreed in writing, payment shall be made as follows:

a. 25% of the total Order value upon acceptance of the Order by Ashbury Timberworks Ltd.

b. 25% of the total Order value prior to commencement of manufacture.

c. 50% of the total Order value prior to dispatch or delivery of the Goods.

No Goods shall be released for delivery until all sums due have been paid in full.

Supply and Installation Contracts

Unless otherwise agreed in writing, payment shall be made as follows:

a. 25% of the total Order value upon acceptance of the Order by Ashbury Timberworks Ltd.

b. 25% of the total Order value prior to commencement of manufacture.

c. 40% of the total Order value prior to delivery of the Goods to site.

d. The remaining 10% shall become due immediately upon Practical Completion of the installation works.

Practical Completion shall mean the point at which the Goods have been installed and are capable of their intended use, notwithstanding minor defects or snagging items that do not materially affect operation.

2. Retention of Title

Ownership of all Goods shall remain with Ashbury Timberworks Ltd until payment has been received in full for all sums due under the Contract.

Risk in the Goods shall pass to the Customer upon delivery.

3. Natural Characteristics of Timber

The Customer acknowledges that timber is a natural material and that variations in grain pattern, colour, texture, figure, knots and other natural features are inherent characteristics and shall not constitute defects.

Timber products may experience natural expansion, contraction, movement, resin bleed, surface checking and minor distortion due to fluctuations in temperature and moisture content. Such characteristics shall not be regarded as manufacturing defects.

4. Site Surveys and Measurements

Where Ashbury Timberworks Ltd undertakes a site survey, the dimensions recorded by the Company shall take precedence over any dimensions previously supplied.

Where dimensions are supplied by the Customer, architect, builder or third party, responsibility for accuracy shall rest entirely with that party and Ashbury Timberworks Ltd shall not be liable for any losses arising from incorrect dimensions.

5. Lead Times

All lead times are estimates only and shall not be of the essence of the Contract.

Ashbury Timberworks Ltd shall not be liable for delays arising from circumstances beyond its reasonable control, including but not limited to material shortages, transport delays, supplier failures, adverse weather conditions, labour shortages or force majeure events.

6. Warranty

Subject to compliance with the maintenance requirements set out in the Company’s Maintenance Guide, Ashbury Timberworks Ltd provides:

  • Ten (10) year warranty on timber window and door joinery workmanship and manufacture.

  • Five (5) year warranty on factory applied paint and stain finishes.

  • Insulated glazing warranties in accordance with the glazing manufacturer’s warranty provisions.

  • Ironmongery warranties in accordance with the relevant manufacturer’s warranty provisions.

The warranty shall not apply to:

  • Fair wear and tear.

  • Lack of maintenance.

  • Misuse or neglect.

  • Damage caused by third parties.

  • Building movement or structural defects.

  • Natural timber movement.

  • Condensation issues arising from ventilation or environmental conditions.

  • Damage caused by alterations carried out by others.

7. Installation

The Customer shall provide safe and unrestricted access to the installation area.

Unless specifically included within the quotation, Ashbury Timberworks Ltd shall not be responsible for decorating, plastering, tiling, flooring repairs, making good, or other remedial works following installation.

Installation dates are estimates only and may be affected by weather, site conditions or factors outside the Company’s control.

8. Inspection and Defects

The Customer shall inspect the Goods promptly upon delivery and following installation.

Any defects, shortages or damage reasonably apparent upon inspection must be notified to Ashbury Timberworks Ltd in writing within seven days.

The Company shall be afforded a reasonable opportunity to inspect and rectify any defect before any third party is instructed.

9. Limitation of Liability

The liability of Ashbury Timberworks Ltd shall be limited to the repair, replacement or refund of defective Goods at its sole discretion.

The Company shall not be liable for any indirect, consequential or economic loss, including loss of profit, loss of business, loss of opportunity or business interruption.

Nothing in these Terms shall exclude liability for death or personal injury caused by negligence, fraud or any liability which cannot lawfully be excluded.

10. Governing Law

These Terms and Conditions shall be governed by the laws of England and Wales and any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
